MASTER TERMS OF SERVICE

1. Scope of Agreement

By engaging Aeroshield Inc. ("Aeroshield"), the Client agrees to be bound by these Master Terms of Service. All services are provided subject to the terms outlined herein.

2. Payment Terms & Value of the Assignment

The Client agrees to pay a mutually agreed-upon retainer before services commence. Services will be billed at an hourly rate plus expenses, deducted from the retainer. Once the retainer balance reaches a predetermined threshold, the Client must replenish funds to continue services. No work will proceed without the Client’s approval of additional expenses.

3. Non-Refundable Services

All services provided by Aeroshield are non-refundable, regardless of investigative findings. Due to the nature of investigations, no specific outcomes can be guaranteed.

4. No Guarantees or Warranties

Aeroshield does not guarantee or warrant:

Identification of responsible parties

Recovery of assets

Specific legal outcomes

A fixed timeline for service completion
Various external factors may affect investigative progress.

5. Exclusions

Aeroshield does not provide:

Legal representation

Direct law enforcement involvement

Unauthorized digital forensics

Debt collection services

Guarantee of prosecution or legal action

6. Confidentiality & Non-Disclosure

Both parties agree to maintain the confidentiality of all investigative methods, findings, and reports. Unauthorized disclosure of confidential information will be considered a material breach, subject to legal action.

7. Indemnification & Liability Waiver

The Client indemnifies Aeroshield, its owners, employees, and affiliates from any claims, damages, or liabilities arising from the engagement of its services. Aeroshield shall not be liable for any indirect, consequential, or incidental damages.

8. Termination & Refund Policy

Either party may terminate this agreement with 15 days’ written notice. Refunds, if applicable, will be determined based on the remaining retainer balance and outstanding service fees. If the Client terminates the agreement, all payments made are non-refundable.

9. Supersession of Agreement

This agreement supersedes any prior agreements between the parties. Any modifications must be in writing and signed by both parties.

10. Jurisdiction & Governing Law

Any disputes related to this agreement shall be governed by the laws of the State of Illinois and litigated exclusively in the Circuit Court of DuPage County, Illinois.

11. Prepaid Service Requirement

All investigative services must be prepaid in full before any work begins. Aeroshield will not initiate work or incur expenses until payment is received.

12. Expense Approval & Budget Control

Aeroshield will not incur additional expenses without prior written approval from the Client.

13. Operational Autonomy & Client Direction

Aeroshield operates independently or under the legal direction of the Client’s legal counsel.

14. Force Majeure

Aeroshield shall not be liable for delays or failure in performance due to circumstances beyond its control, including natural disasters, government actions, cyberattacks, labor strikes, or acts of war.

15. Survival of Agreement

The terms of this agreement shall remain in effect beyond its completion, expiration, or termination, ensuring enforcement of rights and obligations.
